Oregon Trail Electric Cooperative Bylaws
Things have changed in the electric cooperative business and at OTEC in the over 25 years since our founding. As a result, in 2015, your OTEC Board of Directors, were directed the Board’s Bylaws Review Committee to perform a comprehensive review of the OTEC Bylaws. The Committee relied on our General Counsel and the National Rural Electric Cooperative Association’s “Bylaw Revision Guide” for guidance. Our goal throughout the entire process was to prepare the Bylaws for the next 25 years and to avoid trying to fix that which wasn’t broken.
As a result of the review, your OTEC Board of Directors proposed changes to our governing Bylaws. As a democratically controlled electric cooperative, all OTEC Members had the opportunity to vote "yes" or "no" on these proposed changes which were included in the annual voting ballots - mailed in April of 2015.
The proposed bylaw revisions attached below were approved and passed by the membership and results of the vote were announced at OTEC’s Annual Meeting on Saturday, May 2, 2015 in John Day.
